In provision of grey market trading service to you, that is effective before securities to be listed on HK Exchange, we hereby amend the Point 13 of the Part 4 in our general agreement as follows:
(I) You must confirm and agree, for executed OTC order or being executed OTC order (including but not limited to any new securities to be listed on HK Exchange) that Great Roc acts as your agent and not guarantee the settlement of any executed OTC orders.
(II) Your placed order may be partially executed or not executed at all. If the relevant securities are not able to list on HK Exchange, executed order will be canceled and become invalid.
(III) If you have sold but can’t provide us the relevant securities, we have the right to buy the same quantity of it in the regular market in turn to complete the relevant settlement. You must undertake all losses and expenses as incurred with this buy back process.
(IV) Firstly, if you have bought but the seller can’t provide the relevant securities afterwards, and secondly, if you are not able to buy or we decide not to buy the relevant securities, you have NO right to use matched prices to obtain the relevant securities, and only have the right to take back all the money you have paid for.
(V) If you can’t pay for the relevant securities you have bought, we have the right to sell all securities or collaterals in your account in turn to offset your payment, after deduction of settlement fees or expenses. However, if you are the seller under no settlement, you can only take back the relevant securities but not the sold amount.
(VI) With no effect to the above written principles, you must bear all losses or expenses and liable for any losses or expenses to us as incurred by unsettlement.

The order placed in grey market may be partially executed or not executed at all. And, if the securities are subsequently unable to list on HK Exchange, executed order will be canceled and become invalid;
Trades in grey market are subject to risks, including counterparty risk, risk of subsequently unlisted on HK Exchange, lower liquidity and higher volatility. So, settlement of relevant order transactions is not guaranteed. but you will still be fully reliable for any losses or expenses incurred in the unsettlement perhaps due to the counterparty or other issues.
Trade prices of Securities in grey market may significantly differ to the opening or traded prices on listing day. Also, trade prices in one grey market platform may differ to another grey market platform for same securities.
After all, grey market is not regulated by the HK Exchange and will not be covered by the Investor Compensation Fund until the relevant order transactions are realized and properly recorded by the HK Exchange on listing day.
